What is a business name?

A business name is simply a name or title under which a person or entity conducts a business.


Is it necessary to register a business name?


The regulatory guide 235 issued by Australian Securities & Investment Commission in the month of March 2012 states that people who wish to conduct business activities using business name must register their business name. It is a mandatory requirement to register a business name in order to conduct business activities under a business name. However, the need to register a business name may be dispensed when your entity is:

(a) an individual and the business name is the individual’s name;

(b) a registered company and the business name is the company’s name; or

(c) a partnership and the business name consists of all of the partners’ names (s18(2) of Business Names Registration Act 2011)

(d) conducting an activity, or series of activities, done in circumstances that would not entitle you to an Australian Business Number (ABN)


What is the procedure to register a business name?


To register a business name you will first need to create an ASIC Connect account at www.asic.gov.au and lodge an online application by providing certain information, including:

  • the ABN of the proposed business name holder;
  • your proposed business name;
  • your preferred registration period (1 or 3 years);
  • the ‘business name holder’ and their details;
  • a street address for the principal place of business; and
  • a street address for service of documents from ASIC
  • If your proposed business name is ‘available’, pay the registration fee.

Note: You can have more than one business name linked to your ASIC Connect account.

What is the requirements post registration of a business name?

You should ensure after registration of every business name that your details on the Business Names Register remain correct and up-to-date and if you wish to continue using the business name, you should renew your registration before it expires by making payment of the registration renewal fee.
